2. Copyright and database right
Except where otherwise noted, SHOWROOMgroup owns legally and beneficially all the intellectual property rights in the content of all the SHOWROOMgroup websites web pages (including the design, text, databases, graphics and arrangement thereof) and in the software used therein. Such intellectual property rights include, without limitation, copyrights and database rights in the information displayed as SHOWROOMgroup websites Search results which are extracted from a compilation owned by SHOWROOMgroup websites © SHOWROOMgroup 2005.
Items uploaded by Third Party's namely brand users of the SHOWROOMgroup websites are the intellectual property of the respective owners. By making a Submission to any Area, you automatically grant SHOWROOMgroup the royalty-free, perpetual, irrevocable, nonexclusive right and license to use, reproduce, modify, adapt, publish, translate, publicly perform and display and distribute the content of the Submission (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or hereafter developed. You also permit any other user of the Network to access, view, store, or reproduce the Submission for that user's professional use only.
You may not utilise any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilisation of any substantial parts of this website, without SHOWROOMgroup express written consent. You also may not create and/or publish your own database that features substantial (eg our brand members and product listings) parts of this website without SHOWROOMgroup express written consent.
BY SUBMITTING MATERIAL TO A SHOWROOMgroup MEMBER AREA, YOU AGREE TO INDEMNIFY SHOWROOMgroup AND HOLD IT HARMLESS FROM ANY AND ALL CLAIMS, INCLUDING, WITHOUT LIMITATION, CLAIMS FOR LIBEL, SLANDER, INVASION OF PRIVACY, COPYRIGHT INFRINGEMENT OR OTHERWISE, ARISING FROM SUCH SUBMISSION.
3. Trademarks
"SHOWROOMgroup.com", "SHOWROOMgroup", "SPACEshowroom.com", "SPACEshowroom", "RELEASEshowroom.com", "RELEASEshowroom", "SOURCEshowroom.com", "SOURCEshowroom", "DETAILSdirectory.com", "DETAILSdirectory" are trademarks of SHOWROOMgroup. All other trademarks, product names and company names or logos cited anywhere on SHOWROOMgroup websites are the property of their respective owners.
4. Membership Terms.
Our services are not available to, and may not be used by, persons under the age of 18 years or to temporarily or indefinitely suspended SHOWROOMgroup members. If you are under 18 years old, you can use this service only in conjunction with and under the supervision of a parent or guardian. If you do not qualify, please do not use our services. If you are registering as a business entity, you represent that you have the authority to bind that entity to this User Agreement.
5. User ID and Password
If you would like to register to become a Member, please complete the membership registration form for the appropriate SHOWROOMgroup website. You agree to (a) provide true, accurate, current and complete information as prompted by the registration form and (b) maintain and update such information to keep it true, accurate, current, and complete at all times. If any information provided by you on the registration form is untrue, inaccurate, not current, or incomplete, or if we have reasonable grounds to so believe, we have the right to suspend or terminate your membership and to refuse to provide you with any future membership. If we have reason to believe that you have registered someone other than yourself, we will cooperate with any law enforcement investigation that may result from such misrepresentations and shall have the right, in our sole discretion, to disclose any information you provided to us in connection with such registration.
You must choose a User ID and password on completion of registration. You are responsible for all actions taken under that User ID and password and shall only use or utilise the Site using your own User ID and password. You must use every effort to keep your password safe and should not disclose it to any other person. You shall not transfer or sell your User ID to any other person. You shall also not permit, either directly or indirectly, any other person to utilise your User ID or password.
If you use the website, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.
You are responsible for all actions taken with your User ID and password, including those actions that result in fees being charged to your account. Therefore we do not recommend that you disclose your SHOWROOMgroup password to any third parties. If you choose to share your User ID and password or your information with third parties to where it is necessary for you to do so for them to provide you additional services, you are responsible for all actions taken with your User ID and password and therefore you should review that third party's privacy policy. If you lose control of your password, you may lose substantial control over your personally identifiable information and may be subject to legally binding actions taken on your behalf. Therefore, if your password or account has been compromised for any reason, you should immediately change your password in your Buyer Area or Brand Area.
User logins allocated to You under this Agreement are confidential and for Your use only and it is Your responsibility to keep all logins safe. You must tell Us immediately when there are reasonable grounds to suspect or believe that another person has discovered or is using Your user login without Your or Our knowledge and consent.
Upon your written request, we will deactivate your account,and contact information from our active databases. To make this request, please contact us via the webform on the Contact page of the relevant website. Such information will be deactivated as soon as reasonably possible in accordance with our deactivation policy and applicable law.
We may retain in our files information you have requested to remove in some circumstances, such as to resolve disputes, troubleshoot problems, for future legal issues that may arise, and to enforce our Terms & Conditions of Use. Therefore, you should not expect that all of your personally identifiable information will be completely removed from our databases in response to your requests.
Please ensure that the details you provide us with are correct and complete and inform us immediately of any changes to the information that you provided when registering. You can access and update much of the information you provided us with in the Buyer Area or the Brand Area area of the website. We offer you the ability to automatically review and change the information you submit to us by logging into the Site and entering in the new information yourself. Generally, we will not modify your personal information based on your request because it is very difficult to authenticate your account manually. You can change your User ID, password, contact information, postal address and user preferences by going to the Brand Area or Buyer Area.
We reserve the right to modify or discontinue, temporarily or permanently, the SHOWROOMgroup websites (or any part thereof) with or without notice. You agree that SHOWROOMgroup shall not be liable to you or to any third party for any such action.
6. SHOWROOMgroup websites are Only a Venue.
6.1 SHOWROOMgroup websites are not online retailers, phone directories, PR or Sales agencies . Instead, the Site acts as a Venue which allows registered users to offer, promote, and browse just about anything which is legal, at any time, from anywhere, in a variety of price formats. We do not review listings provided by users, we never possess the items offered through the Site and we are not involved in transactions between buyers and sellers. As a result, we have no control over the quality, safety or legality of the items listed, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to pay for items. Do not assume that the offer, sale, purchase, export or import of any item is valid and legal simply because it is listed on the Site. We are not responsible for ensuring that buyers and sellers actually complete any transactions that may arise from making contact through SHOWROOMgroup websites. You accept sole responsibility for the legality of your actions under laws applying to you.
6.2 Your Information. "Your Information" is defined as any information you provide to us or other users in relation to the SHOWROOMgroup websites services including the registration, listing or contact process (including, without limitation, any description of items listed), any content that you post within the Site. You are solely responsible for Your Information, and we act as a mere conduit for your online distribution and publication of Your Information.
To enable SHOWROOMgroup websites to use Your Information, you grant us a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) licence to exercise the copyright, trade mark, publicity, and database rights you have in Your Information, in any media now known or not currently known. You also waive all moral rights you have in Your Information to the fullest extent permitted by law.
6.3 Restricted Items. You must not offer or promote any items which we do not permit on the Site, namely items that are illegal or likely to cause offense. We do not accept any obligation to protect you from unsafe items listed for sale on our Site. Please do not assume that items listed will be harmless to people or property. Your Information and your activities on our Site must not:
a. be false, inaccurate or misleading;
b. be offensive or menacing, abusive, defamatory, or in breach of copyright, confidence, privacy or any other rights;
c. infringe any third party's copyright, patent, trade mark, trade secret or other proprietary rights or rights of publicity or privacy;
d. be fraudulent or involve the sale of counterfeit or stolen items;
e. be in breach of any applicable laws or regulations (including, but not limited to, laws governing export control, consumer protection, unfair competition, anti-discrimination, false advertising);
f. be obscene, indecent or contain child pornography;
g. create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers;
h. link directly or indirectly to or include descriptions of goods or services that: (aa) are prohibited under this User Agreement; (bb) you do not have a right to link to or include;
i. contain any computer viruses, macro viruses, trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority or expropriate any system, data or personal information;
j. cause the Site to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Site is in any way impaired. You must not list any items on the Site that, by paying to us the Membership or Listing fee or the final value fee, could cause us to violate any applicable law.
6.4 Identity verification. We use many techniques to verify the accuracy of the information our users provide to us when they register on the Site. However, because user verification on the Internet is difficult, SHOWROOMgroup cannot and does not confirm the purported identity of users or the validity of the information which users post to the Site. We encourage you to communicate with potential trading partners using the tools available on the Site.
Buyers are researched before accreditation to be granted access to Brand Listings and pages. Brands are not able to view other Brands pages. It may be that some Brands are also Buyers and SHOWROOMgroup will decide whether it is in the best interest of Brand Members to grant the Buyer access to the Brand Pages and is at the discretion of SHOWROOMgroup.
6.5 Liability. In the event that you have any right, claim or action against any other user arising from that user's use of the Site, you agree to pursue such right, claim or action independently of and without recourse to us, and you release SHOWROOMgroup (and our affiliates, officers, directors, agents and employees) from all claims, liability, damages, losses, costs and expenses, including legal fees, known and unknown, arising from or in any way connected with such right, claim or action.
6.6 Information Control. We do not control the information provided by other users which is made available through the Site. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution, common sense, and practice safe trading when using the Site. Please note that there are also risks of dealing with underage persons or people acting under false pretences. By using this Site, you agree to accept such risks and agree that SHOWROOMgroup is not responsible for the acts or omissions of users on the Site.
6.7 We reserve the right to modify or discontinue, temporarily or permanently, the Network (or any part thereof) with or without notice. You agree that the Company shall not be liable to you or to any third party for any such action. |
7. Creation of Brand Pages.
7.1 Brand Pages and Descriptions.
If you are a Brand, you must ensure that you are legally able to offer and sell each item included in your Brand Page and line sheets on the Site, and that it is lawful to sell such item to UK residents or (if the buyer is resident overseas) that it is lawful to sell and export such item to a person resident in the buyer's jurisdiction. Your listings may only include text descriptions, graphics, pictures and other content relevant to the sale of that item and you are responsible for ensuring that you have the right to use all content in your listings and we have the right to host it on our servers. All Brands must be listed in the appropriate categories.
7.2 Fraud Without limiting any other remedies, we may suspend or terminate your account if we suspect that you have engaged or are about to engage in, or have been in any way involved in or linked to, fraudulent activity in connection with the Site.
7.3 Copyright infringement. We are not responsible for verifying a seller's right to offer, promote and sell items. SHOWROOMgroup attempts to ensure that items or the content of line sheets do not infringe the copyright, trademark or other intellectual property rights of third parties. Third parties can notify us in the event that they believe their intellectual property rights have been infringed, and we may remove such infringing items and/or suspend infringing sellers. Please note that selected personal information which you provide to us may be made available to wronged Third Parties in the event you have been found to be infringeing their copyright, trademark or other intellectual property.
7.4
You agree not to use SHOWROOMgroup websites to:
upload, store, post, email or otherwise transmit any:
(a) material that is inaccurate, unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, racist, bigoted or otherwise objectionable,
(b) material that you do not have a right to transmit under any applicable law or under contractual or fiduciary relationships,
(c) material that infringes any patent, trademark, trade secret, copyright or other proprietary right of any party,
(d) junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation, except where specifically permitted, or
(e) material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; connect in an unauthorized manner (i.e. by linking from outside of SHOWROOMgroup websites to password protected areas except where brands are permitted to promote their Brand Page to Buyers);
copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code of the software the SHOWROOMgroup provides for use by its Members;
impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted through SHOWROOMgroup websites;
interfere with or disrupt the Network or servers, networking and computing equipment or networks connected to the Network, or disobey any requirements, procedures, policies or regulations of networks connected to the Network; initiate, facilitate, participate in or distribute a denial of service attack, exploit any documented or undocumented vulnerability in the Network and its component networking or computing equipment, or otherwise initiate, facilitate, or participate in any malicious action aimed at the Network;
try to gain access to areas that are private to the Company or to other Network users;
violate any applicable local, state, national or international law or any regulation having the force of law;
stalk or otherwise harass another; collect, intercept or harvest screen names; collect, intercept or store personal data about other users of the Network; or solicit or attempt to discover a user's password, screen name, or other registration information without the user's express knowledge and consent;
promote or provide instructions or information about how to engage in illegal conduct or commit illegal activities, promote physical harm or injury, or promote any illegal act; or
store any information or use any Web page or directory you create on or through the Network as storage for remote loading or as a door or signpost to another Web page, whether inside or outside the Network.
7.5 You acknowledge that we do not pre-screen material posted or transmitted on the Network, but that we and our designees shall have the right (but not the obligation) in our sole discretion to review and edit, delete or refuse to post any material submitted for display or placed on the Network, including but not limited to Brand profiles, images, and text. Without limiting the foregoing, SHOWROOMgroup shall have the right to remove any material that violates this Agreement, that we believe in good faith may create liability for us, or that we deem is otherwise objectionable. You acknowledge and agree that we may preserve material and may disclose material if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce this Agreement; (c) respond to claims that any material violates the rights of third parties; or (d) in our sole judgment, protect the rights, property, or personal safety of the Company, its users or the public.
7.6 To be effective under this subsection, a notification of claimed infringement must be a written communication provided to the designated agent of a service provider that includes substantially the following:
(i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
(ii) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
(iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material.
(iv) Information reasonably sufficient to permit the service provider to contact the complaining party such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted.
(v) A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
(vi) A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Notification from a copyright owner or from a person authorized to act on behalf of the copyright owner that fails to comply substantially with the provisions above shall not be considered as providing actual knowledge or an awareness of facts or circumstances from which infringing activity is apparent.
Please provide a Notice of Infringement Form each time you wish to report alleged acts of infringement. |
Please note that the Company will, in appropriate circumstances, terminate the account of any Member who repeatedly posts infringing material on the Network.
8. Fees.
We may change this policy at any time, and any change will be effective after the expiry of 14 days following the date of posting on the announcements board on the Site (or such later date as we may notify). However, we may choose to temporarily change our Fees and Credits Policy and the fees for our services for promotional events (for example, discounted membership days) and such changes are effective when we announce the temporary promotional event on the Site. For the avoidance of doubt, such promotional events shall not apply to any listings on our Site at the time of the announcement. We may in our sole discretion change some or all of our services at any time. In the event we introduce a new service, the fees for that service are effective at the launch of the service.
We reserve the right at any time to modify fees for access to existing SHOWROOMgroup websites content or services without notice; or charge fees for access to new SHOWROOMgroup websites content or services or to portions of the existing SHOWROOMgroup websites content or services or to SHOWROOMgroup websites as a whole. In no event will you be charged for access to any SHOWROOMgroup websites content or service, or to SHOWROOMgroup websites as a whole, unless we obtain your prior agreement to pay such charges. If you do not consent to such charges, however, you may not have access to paid content or services.
8.1 CLIENTS
Joining SHOWROOMgroup websites as a Client and sourcing representative of your company and browsing the Provider Listings is free, although you will remain responsible for the costs of your internet connections to access our Site and communicating with the Provider users. 8.2 PROVIDERS
We charge fees to Providers for creating their Provider Member page and for uploading and listing brochures, images, descriptions, etc through our Site and when you list an item you have an opportunity to review and accept the fees that you will be charged. Cooling-Off Period Brands in the European Union are entitled to a statutory cooling-off period of seven (7) business days. Should you wish to cancel your purchased Brand Membership you may do so for whatever reason within seven (7) days of purchase by contacting us through the webform on the relevant SHOWROOMgroup website. After seven (7) days of purchase, your Brand Membership will continue for the full year.
All payment details are handled securely by Worldpay so we do not handle your credit card number.
Uploads
Uploaded Line Sheets and Images are deleted after 48 hours if not paid for - only purchased images are displayed on Brand Pages for Buyers to view. Uploaded and Purchased Images are valid for one year only after which they can or re-purchased or will be deleted.
9. Permitted uses.
Save as provided below, no materials from SHOWROOMgroup websites may be copied, downloaded, reproduced, broadcast, shown or played in public, republished, uploaded, posted, stored, transmitted or distributed in any way or adapted or changed in any way.
SHOWROOMgroup takes active measures to ensure that no unauthorised use or breach of its intellectual property rights is committed.
Subject to applicable third party content providers' licences, you are allowed to access the SHOWROOMgroup.com database, to make a copy of the results of any searches made in that database, and to use those results PROVIDED that none of such access, copying and use falls into, is preparatory to or enables any of the categories of prohibited conduct referred to below, and provided that none of such access, copying and use is for the purpose of and in the course of any similar business. For the avoidance of doubt, and without prejudice to the below mentioned prohibited conduct, such access, copying and use is permitted even for a business if such conduct is merely incidental to the business.
For the avoidance of doubt and without limitation, you are expressly prohibited from:
modifying the data or other material from SHOWROOMgroup websites ("the Data") or merging the Data with any other data;
selling or trading in materials copied from the Data;
using or redistributing the Data for the purposes of compiling databases, lists or directories, other than as and to the extent necessary to use the Data for a use not prohibited by this paragraph 4;
providing commercial information, redistributing or reproduction of the same by the press or media or through any commercial network, cable or satellite system;
issuing questionnaires, reply cards or similar for the purpose of data capture or verification;
permitting or allowing the Data to infringe or otherwise prejudice our proprietary rights;
using the Data:
For any unlawful purpose or purpose that is likely to bring any part of SHOWROOMgroup into disrepute or to cause any part of SHOWROOMgroup embarrassment;
To send any message or communication which is offensive, abusive, indecent, obscene or menacing;
In any way that would be reasonably expected to cause annoyance, inconvenience or needless anxiety;
As source targeting material or contact data for any kind of telemarketing, direct marketing, viral or other electronic marketing activity on your own behalf or on behalf or for the benefit of another party.
10. Data Protection.
SHOWROOMgroup operates within the terms of the Data Protection Act. The key requirements of this law are that data is accurate, is checked regularly and that the person listed (or someone associated with that person) has given permission to be on the list.
To comply with this law, SHOWROOMgroup checks all data every year with either the person listed or someone associated with that person via consent granted by subscription and/or membership.
If a person asks to be removed from our database, their name is immediately removed.
As a user of SHOWROOMgroup websites, the Data Protection Act requires you to:
1. Only send mail or email that relates to business matters;
2. Make sure you have a return address on the envelope or a working return email address;
3. Make sure there is an option for the addressee to unsubscribe from your means of contact.
Do not use the data for more than a year, without either checking it yourself or referring to SHOWROOMgroup websites for updated details.
The Data Protection Act exists to protect people from companies who take no care over the compilation and updating of their data and the method by which they contact individuals.
10.1 In order to comply with the Data Protection Act 1998, SHOWROOMgroup place certain restrictions on the use of the information provided as part of SHOWROOMgroup publications and/or the Online Service. These restrictions are:
a. You must not record or keep a permanent record of the information. This information is provided as "read only" from the SHOWROOMgroup websites as to record the information would be in breach of the Data Protection Act.
b. You must not pass the information to any third party. Under Section 55 of the Data Protection Act it is a criminal offence to unlawfully obtain or disclose personal data without the consent of the data controller (in this case SHOWROOMgroup).
10.2 Your Use of Other Users' Information. In order to facilitate interaction among all SHOWROOMgroup websites Members, our service allows you limited access to other users' contact information. As a Buyer you have access to the Brand Pages, email addresses and other contact information of the Brand Members.
By accepting this User Agreement, you agree that, with respect to other users' personally identifiable information that you obtain through SHOWROOMgroup websites or through a SHOWROOMgroup websites-related communication or SHOWROOMgroup websites-facilitated communication, you may only use such information for: (a) SHOWROOMgroup-related communications that are not unsolicited commercial messages and relate to your genuine participation in an SHOWROOMgroup websites-facilitated communication, (b) using services offered through SHOWROOMgroup websites, and (c) any other purpose that such user expressly agrees to after adequate disclosure of the purpose(s).
In addition, you shall only use such information in accordance with applicable laws and regulations, including without limitation data protection and privacy laws. In all cases, you must give users an opportunity to remove themselves from your database and a chance to review what information you have collected about them. In addition, under no circumstances, except as defined in this Section, can you disclose personally identifiable information about another user to any third party without the consent of the Data controller (in this case SHOWROOMgroup). Note that law enforcement personnel, and other rights holders are given different rights with respect to information they access.
10.3 Transfer of Data We view protection of users' privacy as a very important community principle. Please note that, even though SHOWROOMgroup is based in the UK, Your Information will be stored and processed on our servers in the United States. The laws on holding personal data in the United States may be less stringent than the UK laws but SHOWROOMgroup will hold and transmit Your Information in a safe, confidential and secure environment.
SHOWROOMgroup may be sold to an individual, company or business entity at a future date at which point all data collected through and held by SHOWROOMgroup websites will be transferred to any future owner. By registering for SHOWROOMgroup websites services and content, You grant SHOWROOMgroup unlimited and unrestricted license to sell all details held within SHOWROOMgroup databases to any future owner/owners.
If you object to your Information being transferred or used in this way please do not register.
10.4 Legal Rights SHOWROOMgroup cooperates with law enforcement inquiries, as well as other third parties, to enforce laws and third party rights, such as intellectual property rights and laws relating to fraud. Therefore, in response to a verified request by law enforcement or other government officials such as a Section 29 (3) Data Protection Act 1998 form relating to a criminal investigation or alleged illegal activity, or other activity that may expose us or you to legal liability, we can (and you authorise us to) disclose personal information such as name, address, telephone number, email address, User ID history, and listing history about you as we, in our sole discretion, believe necessary or appropriate.
10.5 We cannot ensure that all of your communications with SHOWROOMgroup and other personally identifiable information will never be disclosed in ways not otherwise described in these Terms & Conditions of Use. For example, third parties may unlawfully intercept or access transmissions or private communications, or users may abuse or misuse your information that they collect from the Site.
